Welcome to HealthQuarters.AI. These Terms and Conditions ("Terms") govern your access to and use of the HealthQuarters.AI website, platform, and services (collectively, the "Services"). HealthQuarters.AI is a venture club and community platform designed for healthcare innovators to connect, share ideas, and collaborate. These Terms constitute a legally binding agreement between you and HealthQuarters.AI.

  • "Member" refers to a User who has registered for an account and been accepted into the HealthQuarters.AI community.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Membership in HealthQuarters.AI is subject to application and approval. We reserve the right to accept or reject any membership application at our sole discretion. Membership may be subject to additional terms, conditions, and fees, which will be communicated during the application process.

4. User Conduct and Community Guidelines

As a member of the HealthQuarters.AI community, you agree to abide by the following guidelines:

  • Treat all community members with respect and professionalism.
  • Do not engage in any activity that could harm, disrupt, or impair the Services or other users' experience.
  • Do not use the Services for any illegal purpose or in violation of any laws.
  • Do not post or share content that is defamatory, obscene, harassing, threatening, or discriminatory.
  • Do not attempt to gain unauthorized access to any part of the Services or any system or network connected to the Services.
  • Do not use the Services to distribute unsolicited commercial messages or spam.
  • Do not impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Intellectual Property Rights

5.1 HealthQuarters.AI Content

The Services and all content, features, and functionality provided by HealthQuarters.AI, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of HealthQuarters.AI or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 User Content

You retain ownership of any content that you post, upload, or share through our Services ("User Content"). By posting User Content, you grant HealthQuarters.AI a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Services.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us the right to use such feedback without restriction and without compensation to you.

6. Confidentiality and Non-Disclosure

As a member of HealthQuarters.AI, you may have access to confidential information shared by other members. You agree to:

  • Maintain the confidentiality of information explicitly marked as confidential or that would reasonably be understood to be confidential.
  • Not use confidential information for any purpose outside the scope of the HealthQuarters.AI community.
  • Not disclose confidential information to any third party without explicit permission from the owner of the information.

7. Fees and Payment

Membership in HealthQuarters.AI may require payment of fees. All fees are non-refundable unless otherwise specified. We reserve the right to change our fees at any time with notice to you. Continued use of the Services after a fee change constitutes your acceptance of the new fees.

8. Limitation of Liability

To the maximum extent permitted by law, HealthQuarters.AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or your use of the Services.

In no event shall our total liability to you for all claims exceed the amount you paid to HealthQuarters.AI, if any, for using the Services during the twelve (12) months prior to the cause of action arising.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. HealthQuarters.AI disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless HealthQuarters.AI and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any rights of another; or
  • Your User Content.

11. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

14. Miscellaneous

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HealthQuarters.AI concerning the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of HealthQuarters.AI.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
